Terms of Use

1. Introduction

Clear AI is a product of Liquid XYZ LLC ("ClearAI" or "we"). These Terms of Use ("Terms") govern your use of ClearAI's products and services, including our application programming interface (API), software, tools, developer services, data, documentation, and website (collectively referred to as "Services"). By using our Services, you agree to these Terms. Please read them carefully. Our Privacy Policy explains how we collect and use personal information.

2. Registration and Access

  1. Eligibility: To use the Services, you must be 18 years or older and able to form a binding contract with Liquid XYZ. If you use the Services on behalf of another person or entity, you must have the authority to accept the Terms on their behalf.

  2. Account Information: You must provide accurate and complete information to register for an account. You may not share your access credentials or account outside your organization, and you are responsible for all activities using your credentials.

3. Usage Requirements

(a) Use of Services: You may access and use the Services in accordance with these Terms. You must comply with these Terms and all applicable laws when using the Services. Liquid XYZ and its affiliates own all rights, title, and interest in and to the Services.

(b) Feedback: We welcome feedback, comments, ideas, proposals, and suggestions for improvements. If you provide any feedback, we may use it without restriction or compensation to you.

(c) Restrictions: You may not:

  • Use the Services in a way that infringes, misappropriates, or violates any person's rights.

  • Attempt to discover the source code or underlying components of the Services.

  • Develop models or systems that compete with Liquid XYZ using the Services.

  • Extract data from the Services except as permitted through the API.

  • Misrepresent that output from the Services was human-generated.

  • Buy, sell, or transfer API keys without our prior consent.

You must comply with rate limits and other requirements in our documentation. Use the Services only in supported geographies.

(d) Third Party Services: Any third-party software, services, or products you use with the Services are subject to their terms, and we are not responsible for third-party products.

4. Content

(a) Your Content: You may provide input to the Services ("Input") and receive output generated by the Services based on the Input ("Output"). Input and Output are collectively referred to as "Content." You own all Input, and Liquid XYZ assigns to you its right, title, and interest in Output. Liquid XYZ may use Content as necessary to provide and maintain the Services, comply with the law, and enforce our policies. You are responsible for ensuring that Content complies with applicable law and these Terms.

(b) Similarity of Content: Due to machine learning, Output may not be unique across users, and the Services may generate the same or similar output for different users. Such responses are not considered your Content.

(c) Use of Content to Improve Services: To improve the Services, you agree and instruct that we may use Content. You can opt out of having Content used for improvement by contacting info@liquidxyz.com.

(d) Copyright Complaints: If you believe your intellectual property rights have been infringed, please send notice to the address provided in this section.

5. Fees and Payments

(a) Fees and Billing: You will pay all Fees according to the prices and terms on the applicable pricing page or as otherwise agreed in writing. We may correct pricing errors or mistakes. You must provide accurate billing information, and we may charge your payment method periodically. Payments are nonrefundable except as provided in this Agreement.

(b) Taxes: Fees do not include Taxes unless stated otherwise. You are responsible for all Taxes associated with your purchase.

(c) Price Changes: We may change our prices with notice. Price increases will be effective 14 days after notice. Any price changes will apply to Fees charged to your account after the effective date.

(d) Disputes and Late Payments: Disputes must be reported within 30 days. Late payments may incur finance charges. We may suspend access for past-due accounts.

(e) Free Tier: Only one account is allowed to benefit from free tier credits. We may charge standard fees or revoke access if free tier usage is not in good faith.

6. Confidentiality, Security, and Data Protection

(a) Confidentiality: You may access Confidential Information as needed to use the Services. You may not disclose Confidential Information to third parties.

(b) Security: You must implement measures to secure your access to the Services.

(c) Processing of Personal Data: If you process personal data, you must provide privacy notices and obtain necessary consents, complying with applicable law.

7. Term and Termination

(a) Termination: These Terms remain in effect until terminated. You may terminate at any time by discontinuing use. We may terminate with notice or immediately for material breach or legal compliance.

(b) Effect on Termination: Upon termination, stop using the Services, return or destroy Confidential Information. Certain sections survive termination.

8. Indemnification; Disclaimer of Warranties; Limitations on Liability

(a) Indemnity: You will defend, indemnify, and hold us harmless from claims arising from your use of the Services, including your Content.

(b) Disclaimer: We make no warranties, express or implied, about the Services and disclaim all warranties.

(c) Limitations of Liability: Our liability is limited to the greater of Fees paid or $100, and we are not liable for indirect, incidental, or consequential damages.

9. Dispute Resolution

You agree to mandatory arbitration, class action waiver, and informal dispute resolution. For detailed terms, see Section 8.

10. General Terms

(a) Relationship of the Parties: These Terms do not create a partnership, joint venture, or agency relationship.

(b) Use of Brands: You may not use our names, logos, or trademarks without our consent.

(c) U.S. Federal Agency Entities: The Services are commercial computer software.

(d) Assignment and Delegation: You may not assign rights or obligations under these Terms. We may assign these Terms.

(e) Modifications: We may amend these Terms with notice.

(f) Notices: Notices must be in writing.

(g) Waiver and Severability: Our failure to enforce rights doesn't waive them. If a part of these Terms is found invalid, the rest remains in effect.

(h) Export Controls: You may not use the Services in embargoed countries or violate export laws.

(i) Equitable Remedies: We may seek injunctive relief for violations.

(j) Entire Agreement: These Terms contain the entire agreement.

(k) Jurisdiction, Venue, and Choice of Law: These Terms are governed by California law. Claims will be brought in San Francisco County, California.
